Tori, we appreciate you making us aware of the miscommunications that took place between you and the COGENCY GLOBAL team. We have spoken to our team members who were active on your account and are working to make sure that our future communications to clients are clearer to avoid misunderstandings. For example, when we are asked whether a nonprofit needs corporate qualification (in addition to charitable solicitation registration) in a state, we let the client know that unless the states involved are DC or ND, corporate qualification is generally only required if you are doing business in the state not just accepting donations. As a service company, we cannot provide legal advice and cannot indicate to a client which states they should or should not register charitably in or qualify to do business in. It is always at the discretion of the client to seek out legal advice and decide internally what states they want us to complete work in. We apologize for not being clearer if you misinterpreted that to mean you needed to register or qualify in states where it wasnt necessary. As recently discussed with you, we are billing you to act as your registered agent in the two states where you appointed us because your entity is still active with those states. We know that you intend to withdraw within those states and upon receiving confirmation of those withdrawals, we can cancel the registered agent service at that time. We understand that due to the nature of our industry, there can be confusion regarding state corporate qualification and charitable registration especially when a nonprofit is soliciting in multiple states. There can also be confusion when a nonprofit is working with multiple service providers. We apologize for any miscommunication on our end and appreciate your bringing your concerns to our attention. We will redouble our efforts to be clearer in all communications with our clients. In your recent conversation with our team, were glad we were able to clarify some areas of confusion and assist you in getting to the bottom of the issues you need to address. Cogency may be the worst registered agent ever. They CONTINUALLY fail to file annual reports for charities, I asked them to register us in two states so we could begin to solicit within those states and they inferred we had to register as corporations as well as charitable organizations - when in fact we only needed to be registered as a charity within the state. As of March 2022, I am still receiving failure to file annual reports from 2019 & 2020 which we of course had already paid Cogency to file. Furthermore, they are very evasive in their communication. I repeatedly reached out to our account representative for weeks asking if they would handle a late annual filing notice we received (that we had already paid for) and the representative would not respond after multiple emails. I had to carbon copy Cogency's CEO to get the account representative to respond to the email. Their billing is also extremely unusual. After I ended our relationship with the organization, they offered me 50% of a refund on a filing fee for one of the states they failed to register us in for two years that I had paid. However, they re-created the invoice and applied the credit to the invoice so it's not like our nonprofit actually received the refund. Overall, I just don't feel like Cogency is a good business to work with. They will bill you for a service and continually not complete the task billed for.
